    Default GreenZap - User Agreement

    GreenZap is an Internet-based service that provides you with an online payment service. Your user account enables you to spend, send, and receive money to or from eligible persons worldwide. By clicking "I Agree" or by using the service, you agree to follow the terms and conditions of this Agreement.

    In this Agreement, "you", "your", or "member" means any person or entity accessing and/or using GreenZap services ("Users"). Unless otherwise stated, "GreenZap," "we" or "our" will refer collectively to GreenZap, Inc.

    GreenZap's User Agreement ("Agreement") is a contract between you and GreenZap, Inc. and applies to your use of GreenZap's online payment services and related products and services available through www.greenzap.com. If you do not agree to be bound by the terms and conditions of this Agreement, do not use or access GreenZap's website.

    GreenZap reserves the right, in its sole discretion, without any obligation and without any notice requirement except as otherwise may be required by applicable law, to change, improve or correct the information, materials and descriptions on this website. GreenZap also reserves the right to temporarily close sections of the website for scheduled or unscheduled maintenance, upgrades, improvements or corrections. GreenZap may discontinue or change any product or service described in or offered on its website at any time. User understands the most recent version of this User Agreement will be posted within a link named "User Agreement" located at the bottom of every GreenZap web page.

    I THE LEGAL RELATIONSHIP BETWEEN YOU AND GREENZAP

    Eligibility. In order to use GreenZap's services, you must register for a Green or Gold user account. Users may only hold one account, either Green or Gold. Our services are only available to individuals or businesses that can form legally binding contracts under applicable law. Our service is not available to minors (under 18) and persons who are suspended from our service.

    Agent Relationship. GreenZap acts as a facilitator to help you accept payments from and make payments to third parties. We act as your agent based upon your direction and your requests to use our services that require us to perform tasks on your behalf. GreenZap acts as a payment service provider by creating, hosting, maintaining and providing our service to you via the Internet. We do not have any control over the products or services that are paid for using our platform.

    a. Agent Relationship to Buyers and Sellers. We cannot ensure that a buyer or a seller you are dealing with will actually complete the transaction. GreenZap will take reasonable steps to help facilitate communication between parties to encourage satisfied buyers and sellers. GreenZap however is not liable for any purchase, service, or program that uses the GreenZap system. At any time you send funds to a third party you are doing so at your own risk. We do not issue refunds if a product, service or membership program turns out to not be what you thought it was, or if the seller does not fulfill on commitments.

    b. Agent Relationship for Payment Services. By initiating and sending payments through GreenZap or adding funds to your online user account credit balance, you appoint GreenZap as your agent to obtain the funds on your behalf and to transfer the funds to the recipient that you designate. When you send a payment, until that payment is accepted by the recipient, you remain the owner of those funds and GreenZap holds those funds as your agent, but you will not be able to disburse those funds or send the funds to any other recipient unless the initial transaction is cancelled.

    If you receive a notice that a payment has been sent to you through GreenZap but you have not yet registered for a GreenZap account, GreenZap will not become your agent and you will have no claim to those funds unless and until you register for an account and indicate your acceptance of the payment.

    c. Agent Relationship regarding Funds Holding. GreenZap will at all times hold your funds separate from its corporate funds, will not use your funds for its operating expenses or any other corporate purposes, and will not voluntarily make funds available to its creditors in the event of bankruptcy or for any other purpose. You acknowledge that GreenZap is not a bank and the service is a payment processing service rather than a banking service.

    Identity Authentication. We use many techniques to identify our Users when they register at GreenZap. You authorize GreenZap, directly or through third parties, to make any inquiries we consider necessary to validate your registration and verify your identity. GreenZap is not liable for Users who provide false or misleading information regarding their identity.

    Dispute Release. In the event that you have a dispute with one or more Users, you release GreenZap (and its officers, directors, agents, subsidiaries, joint ventures and employees) from any and all claims, demands and damages (actual and consequential) of every kind and nature arising out of or in any way connected with such disputes.

    Third-Party Links. The GreenZap website contains links to third party websites. These links are provided only as a convenience. The inclusion of any link is not and does not imply an affiliation, sponsorship, endorsement, approval, investigation, verification or monitoring by GreenZap of any information contained in any third party website. In no event shall GreenZap be responsible for the information contained on that site or your use of or inability to use such site. You should also be aware that the terms and site's privacy policy may be different from those applicable to your use of this website.

    Trademarks. GreenZap.com, GreenZap and all related logos, products and services described in this website are either trademarks or registered trademarks of GreenZap, Inc., or its licensors, and (aside from the circumstances described in "Use of Logos/Graphics" below) may not be copied, imitated or used, in whole or in part, without the prior written permission of GreenZap. In addition, all page headers, custom graphics, button icons, and scripts are service marks, and/or trademarks on the GreenZap website may not be copied, imitated, or used, in whole or in part, without the prior written permission of GreenZap.

    Use of Logos/Graphics. Notwithstanding the above, HTML logos and banners provided by GreenZap, may be used without prior written consent for the purpose of directing web traffic to GreenZap. These Logos may not be altered, modified, or changed in any way, or used in a manner that is disparaging to GreenZap. Logos may not be displayed in any manner that implies sponsorship or endorsement by GreenZap. GreenZap is a payment service, and no partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this Agreement.

    Limitation of Liability. In no event shall GreenZap, subsidiaries, employees or our suppliers be liable for lost profits or any special, incidental or consequential damages arising out of or in connection with our web site, our service, or this agreement (however arising, including negligence). Some states do not allow the exclusion or limitation of incidental or consequential damages so the above limitation or exclusion may not apply to you. Our liability, subsidiaries, employees and suppliers, to you or any third parties in any circumstance is limited to the actual amount of direct damages.

    Indemnification. You agree to indemnify and hold GreenZap, subsidiaries, affiliates, officers, directors and employees harmless from any claim or demand (including attorneys' fees) made or incurred by any third party due to or arising out of your breach of this Agreement or the documents it incorporates by reference, or your violation of any law or the rights of a third party relating to your use of the service.

    Choice of Law. This Agreement is governed by and interpreted under the laws of the state of California, USA as such laws are applied to agreements entered into and to be performed entirely within California by California residents.

    Arbitration. Any controversy or claim arising out of or relating to this Agreement or the provision of services shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party.

    II USER RESPONSIBILITIES

    Multiple Accounts. Users may only hold one account with GreenZap, either a Green or Gold account. If you should register for more than one account, GreenZap will notify you and request that you close your additional accounts within a specified timeframe. If the accounts remain open past the timeframe, GreenZap reserves the right to close your accounts on your behalf. All account privileges on those accounts will be cancelled. After a review of the closed account(s), any monies found to be owed to you will be mailed to the address on file.

    Account Profile Information. You agree to provide true and accurate information when completing the GreenZap account registration process. In the event that your personal profile information changes i.e. mailing address, phone number, email address, etc., you agree to promptly update your account profile with GreenZap. Users may not change their Sponsor once they have completed the registration process. GreenZap is not responsible for unfulfilled transactions due to incorrect profile information.

    Password. You must create a password to access your GreenZap account. Your password has the same effect as your written signature in connection with the service and can be used to access money, send money, receive money, or deposit money into your GreenZap account. We highly recommend you do not share your password with anyone. Do not enter your password into any website page that does not begin with https://www.greenzap.com/. GreenZap is not responsible for losses incurred by Users as the result password misuse or negligence. Anyone to whom you give your password will have full access to your GreenZap account even if you attempt to limit that person's authority. None of our employees or employees of our affiliates will contact you via phone or e-mail requesting your password. If you are contacted by anyone requesting this information, please contact us immediately at the email address shown in the section below entitled Notify us IMMEDIATELY for Unauthorized Transactions.

    Protecting Your Personal Information. In addition to protecting your password, you should also take precautions to protect your personal identification information, such as your driver's license, Social Security number, or tax identification number. This information by itself or together with account information may allow unauthorized access to your accounts. You should treat personal information with the same level of care that you would for your account information. You should also protect and secure all information and data stored in any personal computer or other equipment you use to access our GreenZap service.

    Individual Agreement for GreenZap Service. We do not have joint agreements for our GreenZap service. You are the only customer under this Agreement.

    Spam Policy. GreenZap's Anti-Spam Policy is intended to protect our Users, the Internet, and us. Please read our complete Anti-Spam Policy. In summary, you agree not to use email addresses of GreenZap customers to send unsolicited email. You agree not to use unsolicited email, usenet, message board postings, or similar methods of mass messaging to gather referral rewards. If you are found to be spamming, GreenZap will immediately and permanently terminate your account. In addition, you may be subject to state and federal penalties and other legal consequences under applicable law if you send unsolicited email.
    Hacking. If you use, or attempt to use the GreenZap for purposes other than sending and receiving payments and managing your account, including but not limited to tampering, hacking, modifying or otherwise corrupting the security or functionality of our website, your account will be terminated and you will be subject to damages and other penalties, including criminal prosecution where available.

    No Cash Advances. You agree not to engage in behavior that could reasonably be construed as providing yourself a cash advance from your credit card, and agree not to assist Users who engage in behavior that could reasonably be construed as providing themselves a cash advance from their credit cards. Such behavior includes, but is not limited to, a User paying someone with a credit card-funded payment through GreenZap, then receiving the funds back from the original recipient and attempting to disburse the funds from their account. GreenZap reserves the right to reverse all such transactions and to terminate any accounts that are associated with such behavior.

    Unclaimed Property. If you do not access your account for a period of three years, it will be terminated. After the date of termination, we will use the information you provided to try to send you any funds that we are holding in custody for you. If that information is not correct, and we are unable to complete the payment to you, your funds will be subject to applicable state laws regarding escheat of unclaimed property.

    Non-U.S. Users. Non-U.S. Users, like U.S. users, must use a U.S. bank account to send or receive electronic funds to or from their GreenZap account, unless otherwise permitted by GreenZap from time to time in GreenZap's sole discretion and subject to all applicable laws. In the event GreenZap permits a non-U.S. User to use a non-U.S. bank account for GreenZap transactions, the laws of the non-U.S. User's home country may prohibit the non-U.S. User from using GreenZap to receive or send funds. It is GreenZap's assumption that Non-U.S. Users are signing up for a GreenZap account only after determining that opening and maintaining a GreenZap account does not violate any laws or regulations in respective country and jurisdiction. If you are a non-U.S. User, you warrant that you are not violating a law or regulation by your utilizing GreenZap, and you indemnify us for any and all liability that might arise from your use of GreenZap.

    Non-Approved Countries. Users residing in the following countries are prohibited from opening, using, or operating GreenZap accounts: Cuba, Iran, Iraq, Libya, Afghanistan, North Korea, Sudan, and Syria. The non-approved countries list may change without notice.

    Closing Your User Account. You may choose to terminate this Agreement and close your user account for any reason and at any time by submitting this request to GreenZap Customer Service. You can contact Customer Service by clicking on the Contact Us link located in the upper-right hand corner of every web page. Upon closure of a user account, any pending transactions will be cancelled. Any funds that we are holding in custody for you at the time of closure, less any applicable fees, will be paid to you by check, assuming all disbursal related authentication requirements have been fulfilled (for example, you may not use closure of your user account as a means of evading disbursal limits). You may not use closure of your user account as a means of evading investigation - if an investigation is pending at the time you close your user account; GreenZap may continue to hold your funds as appropriate to protect GreenZap against the risk of reversals. If you are later determined to be entitled to some or all of the funds in dispute, GreenZap will make an additional payment of those funds to you. You will remain liable for all obligations related to your user account even after such account is closed. This Agreement will stay in effect until changed or terminated. We have the right to terminate this Agreement at any time. We also have the right to make changes in this Agreement at any time. We will comply with any notice requirements under applicable law for such changes. If applicable law does not specify any notice requirements for the change, we will decide what kind of notice (if any) we will give you and the method of providing any such notice. You are not permitted to alter or amend this Agreement or any related document without our express written consent. Any attempt to do so will be void and unenforceable.

    Waivers. No delay or omission by us in exercising any rights or remedies under this Agreement or applicable law shall impair such right or remedy or be construed as a waiver of any such right or remedy. Any single or partial exercise of a right or remedy shall not preclude further exercise of that right or remedy or the exercise of any other right or remedy. No waiver shall be valid unless in a writing enforceable against us.

    CLOSING ACCOUNTS AND LIMITING ACCOUNT ACCESS. GreenZap reserves the right to terminate any GreenZap member account for any reason at anytime. GreenZap may limit access from an account for any one of the reasons listed below:

    • <LI class=bodytxt>Reports of unauthorized or unusual bank account use associated with the account. <LI class=bodytxt>Sending unsolicited email or posting referral links on websites where they are not permitted. <LI class=bodytxt>Opening multiple Personal accounts. <LI class=bodytxt>The account has been used in or to facilitate fraudulent activity. <LI class=bodytxt>Violations of this User Agreement. <LI class=bodytxt>Return of an incoming Electronic Funds Transfer for insufficient funds in the bank account, incorrect bank routing number, or incorrect bank account number. <LI class=bodytxt>Receipt by GreenZap of excessive complaints regarding your account, business or service.
    • You use your account to collect funds for stolen or fraudulent merchandise.
    GreenZap will use reasonable efforts to investigate accounts that are subject to account access limitations and to reach a final decision on the limitations promptly. Should your account be restricted, all funds will be held for a period of 180 days as the norm. However depending on the reason of restriction, it may be held for a lesser period which will be determined at the discretion of the Account Specialist. By following the GreenZap rules, you can help protect your account from being limited.


    Notices and Communications. Except as otherwise provided in this Agreement, all notices required to be sent to you will be effective when we post such notice on the GreenZap website or email them to the last known email address that we have for you in our records or when we otherwise make such notices available to you through electronic means. All notices and communications sent by you to us will be effective when we have received them and have had a reasonable time to act on them. You agree to notify us promptly of any change in your mailing address, email address or telephone number.
    Recording. You agree that we may tape record any telephone conversations you have with us regarding the services covered by this Agreement. However, we are not obligated to do so and may choose not to in our sole discretion.

    Attorney Fees. If we become involved in legal action to defend or enforce this Agreement, you agree to pay our reasonable attorneys' fees and court costs, to the extent not prohibited by law.

    Assignment. We may assign our rights and/or delegate our duties under this Agreement to a company affiliated with us or to any other party.

    III USER ACCOUNT OVERVIEW AND FEES

    GreenZap User Account. A GreenZap user account, also referred to as a GreenZap account or Green account, is free to set-up. With a Green account, you can send, spend, receive and earn with GreenZap. A GreenZap user account is a payment service user account only and not a bank account and does not have all of the protections of a bank account afforded by U.S. and state law. You should not use your GreenZap user account as a substitute for your U.S. federally-insured bank accounts.

    Fees. Following please find our fee schedule listed by transaction and account type. Fees are in US Dollars. Earned WebCash located in your 'Available Balance' may be used to pay for the transaction fees associated with sending funds, receiving funds, and adding funds. Withdraw funds options can only be paid with Cash or US Dollars located in your 'Available Balance'.

    GreenZap Gold Account. A GreenZap Gold account, also referred to as a Gold account, is an upgraded account providing the User with a reduction on every transaction fee $2 to $1, in comparison to the Green account. To become a Gold member, you must transfer or deposit $100 to your GreenZap user account using a U.S. bank account or by charging your Visa® or MasterCard®. The $100 will be your money to spend and send as "WebCash". Visit the "Servicez" section of the website to view an account comparison chart.

    Cash Balance versus Web Cash Balance.
    GreenZap is unique from other payment portals in that we have created a rewards system for our Users enabling them to earn and give away WebCash. WebCash can be used to send to anyone, to cover GreenZap transaction fees (excluding withdrawing funds from your account), or used to pay for (part or all) goods and services from GreenZap's global network of preferred merchants. Your cash balance is money that you have loaded to your GreenZap account, received from a third party, or earned in GreenZap community rewards and can be disbursed. WebCash is not cash and cannot be withdrawn. WebCash cannot be bought or sold. Buying or selling WebCash will result in the termination of your GreenZap account. WebCash is a rewards program providing discounts or credit with participating merchants. WebCash can only be used, as the name says, on the web. WebCash credits can be changed or cancelled by us at any time without any prior notice to you, and merchants may cancel their participation at any time without notice.

    Loading Funds by Mail-In Check.
    You can load monies to your GreenZap user account, by mailing-in a Cashier's Check or Money Order. If you pay by mail-in Cashier's Check or Money Order, your funds will be pending until they have been verified. Once your funds have been verified, the monies will be made available to you. Please allow 7 to 15 business days from the time your check was received by GreenZap for your funds to become available to you.

    Gold Account Refund Policy. The $100 Gold account upgrade is non-refundable. The $100 is instantly converted to WebCash and deposited to your account. It is yours to send or spend on transaction fees and with GreenZap preferred merchants. It can not be disbursed as cash and does not expire. You may choose to close your account at anytime, which will simply void your WebCash balance.

    GreenZap Service Transactions. You, or someone you have authorized by giving them your password (even if that person exceeds their authority), can instruct us to perform GreenZap service transactions. We may introduce or offer new or additional services from time to time in connection with our GreenZap service. By using these new services after they become available, you agree to be bound by all the terms and conditions that apply to those services.
    Communications Link and Your Equipment. You are responsible for obtaining, installing, maintaining and operating all hardware, software and Internet access services necessary for obtaining our GreenZap service. The use of the GreenZap system is on an "as is" basis. WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES WE PROVIDE YOU UNDER THIS AGREEMENT, INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

    Limits on GreenZap Service Transactions. You must have enough available money or credit in any account from which you instruct us to make a payment. All payments must be in U.S. Dollars. For security reasons, we may implement limits on the number or amount of transactions you can make using our GreenZap service. We also reserve the right to limit or suspend access to our GreenZap service as we deem necessary for security reasons.

    When GreenZap Service Payments Are Made. Payments are not final at the time we receive your instructions, but we will begin to process them promptly. Each payment will be posted to the GreenZap funding account from which it is made, and to any other account with us that is involved in the transaction, on the date you have specified. Each payment you initiate on a non-business day, or after our GreenZap cut-off time on any business day, will be considered initiated on the following business day. Our GreenZap cut-off time is 9:00 a.m. Pacific Time.

    Our Liability for Failure to Complete Payments from Consumer Accounts. The GreenZap service is a convenience feature only. Do not use the GreenZap service for payments that, if not completely correctly or in a timely manner, would result in monetary or other damages to you or any other person. If we do not complete a payment in a timely manner or in the correct amount as specified by you, we will not be liable for your losses or damages beyond refunding any amounts incorrectly transferred. We will have no liability whatsoever if you do not properly follow our instructions or if you provide us with wrong or inaccurate information or fail to correct or tell us about any inaccuracy of which you are aware or if circumstances or persons beyond our control intercept or alter the transaction despite reasonable precautions that we have taken.

    Business Days. Our GreenZap service is generally available 24 hours a day, seven days a week. However, we only process transactions and update information on business days. Our business days are Monday through Friday. Holidays are not business days.

    Stopping or Changing Payments.
    If you want to stop or change payments you have instructed us to make, you must notify us before we have started processing the transaction. Once we have processed a transaction, we cannot guarantee that it can be reversed, and you will be responsible for any resulting losses.

    Statements. Your GreenZap transactions will be indicated on the online statements we make accessible to you for the accounts with us that are involved in the transaction. You agree to notify us promptly if you believe there are any errors or unauthorized transactions on any statement or in any statement information.

    Notice of Incomplete Transactions. You agree to notify us promptly if you receive notice from a payee or other institution that a payment you made through our GreenZap service has not been completed or remains unpaid.

    Information Provided to Us. You represent and warrant to us that all information you have provided or will provide to us in connection with establishing, maintaining and administering your GreenZap account is true, correct and complete in all respects. You also represent and warrant that you are at least 18 years of age and are otherwise legally competent to enter into a binding legal contract. You agree that we may obtain a consumer report on you at any time and take any other measures in order to verify your identity in an effort to help combat money laundering activities and the funding of terrorism. You agree and understand that our procedures for identifying the persons with whom you exchange funds through the GreenZap system cannot be guaranteed, and you accept the risk that the persons receiving funds may not be the persons you intend.

    GreenZap is Not a Bank. GreenZap is not a bank, and your transactions through GreenZap are not regulated as bank transactions. Similar services may be offered by banks, and if you wish to process your transactions through a bank, you should check with one or more banks and compare services. GreenZap is not a fiduciary, escrow or trustee and has no fiduciary duties to you. GreenZap only acts as your agent in processing your GreenZap payment transactions. You do not have to keep any balance of funds in your GreenZap account at any time, but to the extent a balance remains in your GreenZap account at any time, your funds remain your own funds when in the hands of GreenZap and will be placed in an FDIC-insured account with a bank in the name of GreenZap for the benefit of GreenZap customers. You agree that you will not receive any interest on such funds and that GreenZap may receive earnings credits or other benefits as a result of the balances held in the account with the bank.

    Disclosure of Information to Others. We may disclose information about you or your GreenZap account as follows:

    • <LI class=bodytxt>To consumer reporting agencies. <LI class=bodytxt>In connection with audits or any sale or transfer of your account or a GreenZap company or division. <LI class=bodytxt>For fraud, security or risk control. <LI class=bodytxt>To help complete a transaction you initiate, including information requested to verify the existence or condition of an account. <LI class=bodytxt>To resolve disputes or inquiries you may have about your account. <LI class=bodytxt>With your consent or at your direction, which may be oral, in writing, by telephone, electronic or other means we recognize. <LI class=bodytxt>When disclosure is required by law, such as pursuant to court order, subpoena, legal process or government agency examination or investigation, or to protect or enforce our rights. <LI class=bodytxt>To companies that perform services for us in connection with your account, such as data processing companies and other service providers or vendors. <LI class=bodytxt>As otherwise necessary to service your account, or as permitted or required by law.
    • In response to a request from any GreenZap company.

    Your Liability for Unauthorized Transactions on GreenZap Accounts. You are liable for all transactions that you make or authorize, even if the person you authorize exceeds your authority. If you have given someone your access codes and want to terminate that person's authority, you must change your access codes or take additional steps to prevent further access by such person. Notify us IMMEDIATELY for Unauthorized Transactions. Tell us at once if you believe your password has been lost, stolen or otherwise compromised or used without your authorization. Email us at [email protected] to reduce your possible losses. You could lose all the money in your GreenZap account.

    In Case of Errors or Questions About Transactions Involving Your GreenZap Account.
    Please contact us as soon as you can, if you think your statement is wrong or if you need more information about a payment covered by this Agreement which is listed on the statement. Tell us your name and account ID. Describe the error or payment you are unsure about, and explain as clearly as you can why you believe it is an error and why you need more information. Tell us the dollar amount of the suspected error. If you tell us orally, we may require that you send us your complaint or question in writing.

    IV SENDING AND SPENDING THROUGH GREENZAP

    Users must open a GreenZap account, either Green or Gold, before having access to GreenZap's spending or sending services.
    a. GreenZap "Green" Account. Green accounts are limited to a total of $1,000.00 USD of sending or spending on a monthly basis. However, GreenZap reserves the right to restrict an account's activity at any time if it is flagged for higher than normal activity levels or is receiving consumer complaints.

    b. GreenZap "Gold" Account. Gold accounts may or may not be restricted with sending or spending limits from time to time by GreenZap in its sole discretion, and GreenZap reserves the right to request additional personal profile information or restrict an account's activity at any time if it is flagged for higher than normal activity or is receiving valid consumer complaints. In order to upgrade to a GreenZap Gold account, users must transfer or load $100 to their GreenZap account from a U.S. Checking Account or by charging their Visa® or MasterCard®.

    Non-U.S. Users. GreenZap may require Non-U.S. Users to provide additional profile information. Users residing in Non-U.S. approved countries must open a GreenZap account before having access to GreenZap spending and sending services. If you do not have a U.S. checking account to verify and upgrade your account to Gold, you will need to upgrade your account via Visa® or MasterCard®. Your account will upgrade instantaneously when upgrading via credit card. Your GreenZap cash balance is denominated in U.S. Dollars.

    Electronic Transfers. When you load funds to your GreenZap account or initiate an "Add Funds" transaction you are requesting an electronic transfer from your bank account. Upon such request, GreenZap will make electronic transfers via the Automated Clearing House (ACH) system from your U.S. bank account in the amount you specify. You agree that such requests constitute your authorization for such transfers. You must be a named owner of the account for it to qualify. Any account requiring more than one signature for withdrawal does not qualify. GreenZap will never make transfers from your bank account without your authorization.

    You may be charged a service fee for any ACH transactions that result in a returned ACH item, such as but not limited to those caused by insufficient funds in your bank account, closure of your bank account, or if the bank account number or other information you provided is incorrect. Currently, Non-U.S. Users are charged $20.00 USD per returned ACH and U.S. Users are not charged. GreenZap reserves the right to resubmit for collection any ACH debit authorized by you that is returned for insufficient or uncollected funds.

    Right of Recipient to Refuse Payment. When you send a payment to a third party through GreenZap, the recipient is not required to accept the payment, even if the recipient has an account with GreenZap. The recipient is free to return payments. You acknowledge that GreenZap will not be liable for any damages resulting from a recipient's decision not to accept a payment. Any sent monies through GreenZap that are denied or unclaimed by a recipient will be returned to the sender on the earlier of (a) the date of such denial, or (b) within 30 days from the date the payment is sent.

    V RECEIVING AND DISBURSING MONEY VIA GREENZAP

    Receiving Funds. Users must open a GreenZap account, either Green or Gold, before receiving money through GreenZap. When you receive funds to your GreenZap account, applicable transaction fees will apply per our fee schedule.

    Receipt of Payments; Risk of Reversal of Transactions; Collection of Funds. When you receive money through GreenZap, you are not protected against a subsequent reversal of the transaction. In the event that the sender's transaction is reversed for any reason, you will owe GreenZap for the amount of the reversed transaction plus any fees imposed. Examples of such a reversal include, but are not limited to, a reversal of the transaction because the sender of the payment was using a stolen credit card or unauthorized bank account. GreenZap will seek to recover the funds from you by debiting your GreenZap balance and, if there are not sufficient funds in your account, GreenZap reserves the right to collect the funds by other legal means.

    Disbursing Funds. You may disburse your cash balance funds from your GreenZap account by requesting a bank transfer (ACH) or a physical check. If the user chooses to disburse funds to a US bank account they must allow 3 to 4 business days for the funds to post, if the request falls on a weekend or holiday the transaction will be processed on the next business day. If the user requests a check to be mailed they must allow 7 to 15 business days for the check to be processed and physically mailed. Check requests will only be sent to the name and address entered in your personal profile with GreenZap. Your GreenZap cash balance is denominated in U.S. dollars. California residents may not send or receive cash outside the U.S. unless otherwise permitted by GreenZap in its sole discretion and in compliance with applicable laws. Non-U.S. Users must have a U.S. bank account to disburse or receive cash electronically unless otherwise permitted by GreenZap in its sole discretion; otherwise GreenZap may require additional information to process international transfers. Applicable transaction fees will apply for disbursing funds per our fee schedule.

    VI GREENZAP REWARDZ PROGRAM

    GreenZap rewards you for telling others about GreenZap who open an account. The amount of rewards you earn will depend on the account type you have, i.e. Green or Gold.

    Green Account Rewards. If you have a Green account with GreenZap, you will automatically receive $25 in WebCash for opening the account. You will be additionally rewarded with $5 in WebCash for anyone who signs up and enters your ZapID (previously referred to as a Promo Code).

    Gold Account Rewards or Community Rewards. You can earn community rewards by upgrading to a Gold account for $100. You will receive $100 in WebCash instantly, reduced transaction fees, and the opportunity to earn GreenZap community rewards. As a Gold member, you will continue to be rewarded with $5 in WebCash for every person that opens a GreenZap account using your ZapID. Additionally, as a Gold member, with a minimum of 5 gold member personal referrals, you can earn up to $5 to $30 for everyone in your entire community who upgrades to a GreenZap Gold account.

    5 Gold Referrals = $5 for every gold member in your community.
    10 Gold Referrals = $10 for every gold member in your community.
    20 Gold Referrals = $20 for every gold member in your community.
    30 Gold Referrals = $30 for every gold member in your community.*

    *GreenZap will reward you for everyone in your community and will continue doing so until another member in your community begins to earn community rewards. From that point, and just for that particular member, you will begin to share your reward. For example, if you personally referred 30+ GreenZap Gold account members, and someone in your community (say, John Smith) has personally referred 10 GreenZap Gold account members, then you would continue to earn the difference of $20 from every Gold Account member in John Smith's community i.e. $30 - $10 = $20. Further if you have personally referred 30+ GreenZap account members, and John Smith also refers 30+ GreenZap Gold account members, you will continue to be rewarded with a minimum of $5 per Gold account member in John Smith's community. However, if John Smith has someone he directly or indirectly referred who also reaches 30+ GreenZap Gold account members, this would be your cut-off point for shared rewards.

    Upgrade Timing as it Relates to Rewards. If you refer someone to GreenZap and they open a Green account you will earn $5 in WebCash. If you refer someone to GreenZap and they immediately open a Gold account you will earn $20, divided 80/20, $16 deposited to your Cash Balance and $4 deposited to your WebCash Balance. If you refer someone to GreenZap and they open a Green account, then later choose to upgrade to Gold, you will earn $5 in WebCash for the Green account and $15 deposited to your Cash Balance when they upgrade.


    VII GREENZAP STORED VALUE CARD

    Eligibility. At this time, the GreenZap Stored Value MasterCard® or Visa® is not available. When it becomes available it will be issued as part of the Gold account upgrade registration form, Users will be required to provide date of birth, social security number or Government ID, and a physical street address, not a P.O. Box.

    Obtaining and Activating Your Stored Value Card. GreenZap reserves the right to accept or reject any application for a Stored Value Card. Your GreenZap Card will be sent to you after an account verification period and upon your first debit card transaction request. Once you receive your card in the mail, you can activate your card by logging into www.GreenZap.com and following the instructions on the Debit Card link within your account.

    Using your Stored Value Card. You may use your Stored Value Card at any ATM that is part of the MasterCard/Maestro/Cirrus ATM network. ATM disbursals are available up to the daily authorization limits, provided the available balance loaded to your card. You may use your Stored Value Card to purchase goods and services from merchants that accept MasterCard® or Visa®, up to the available balance loaded on your card, and subject to the transaction limits specified on the Stored Value Card insert mailed with your card.

    Personal Identification Number/Your Electronic Signature. Your personal identification number (PIN) is a security code, which has been designed to protect your transaction account against unauthorized use. The PIN provides enhanced security for your account and must be used when making transactions to your account. It is your electronic signature. Since the PIN is for security purposes, you should memorize it and it should not be disclosed to anyone. You can change your PIN at any time, and a temporary hold can be placed on your account if the PIN has been compromised or if your card is lost or stolen. Maintaining the security of your PIN and card is your responsibility.

    Lost or Stolen Card. If your Stored Value Card has been lost or stolen, please call the number listed on the card insert or email us immediately to inactivate your card and order a new one. The new card will be produced and mailed via USPS within 10 to 15 business days.

    Forgotten PIN. If you have forgotten your PIN, but have your "Pass Code" from the Stored Value Card mailer, please call the customer service number listed on the back of your Stored Value Card and follow the prompts to change your personal PIN. If you do not know the Pass Code, please call the customer service number listed on the back of your card to speak with a live customer service representative. Please note a call fee may apply.

    Termination. You or GreenZap may terminate your Stored Value Card services, in whole or in part, without advance notice, due to your default, account downgrade, or as a security precaution. If you or we cancel your Stored Value Card, you must surrender or destroy your Card or any other access device issued to you. Depending on the circumstances, we will attempt to give you prior notice, but this may not be possible in all cases.

    Other Terms and Conditions. For complete details on your Stored Value MasterCard® or Visa®, please refer to the Terms and Conditions insert mailed with your card.


    VIII. WEBCASH FOR CASH

    IMPORTANT

    Please read this Member Agreement (the "Agreement") carefully before using the WebCash for Cash Back Rewards Program.

    This Agreement explains the terms and conditions governing use of the Program (the "Program Terms and Conditions"), and it is your responsibility to read and understand them. By using the Program, you agree to be bound by the Program Terms and Conditions. Use is defined as any member of GreenZap that exchanges “WebCash for Cash”. Participation in the Program and its benefits are offered at the discretion of GreenZap, and GreenZap has the right to change the Program Terms and Conditions, in whole or in part, at any time with or without notice.

    ELIGIBILITY

    1. You must be an individual, 18 years of age or older.
    2. Members must be human: no machines, scripts, or automated services may be used to accumulate any financial benefits derived from the use of GreenZap. You may maintain only one account. Any duplicate accounts will be subject to cancellation.
    3. The Program is only available via access to the GreenZap Web site (http://www.GreenZap.com). You must have Internet access and an email address to be eligible to receive the privileges and benefits of membership. GreenZap is not responsible for your inability to connect to the Internet, log into the GreenZap Web site, or access your GreenZap account.
    4. By agreeing to these terms, you also agree not to 'spam' unknown individuals by sending them unwanted emails to solicit their membership at GreenZap. Refusal to abide by this or any other rules may result in GreenZap stripping you of referrals and/or canceling your membership.

    ACCRUAL OF DISCOUNTS

    5. Members will be credited, subject to the terms and conditions enumerated in this Agreement, a whole dollar amount or percentage of the net purchases made by you at one of the online merchants affiliated with GreenZap (an "Affiliated Merchant"). The dollar amount or percentage will be enumerated on the GreenZap Website as it relates to each Affiliated Merchant. The net purchase is defined as the total amount paid to the merchant minus tax, gift wrapping, shipping, promotional credits, returns, cancellations, and transaction fees or as the Affiliated Merchant defines on their respective Web site and as is enumerated in their respective Affiliate Membership and/or Operating Agreement document, whichever is less. All Affiliated Merchant Membership and/or Operating Agreements as they relate to their affiliate or partner programs with GreenZap and which reside on the Affiliated Merchant's respective Web sites are hereby incorporated into this Agreement by reference.

    6. As a Member, purchases made through GreenZap Affiliated Merchants will be deemed a "Qualified Purchase" and will be subject to earn a cash back reward if and only if all of the following criteria are satisfied: 1) "Cookies", both first and third party (if applicable), must be enabled on your Web browser. 2) All potential Qualified Purchases must begin by clicking on the Affiliated Merchant's link that appears on the GreenZap Website after the webcash exchange and being successfully connected to the Affiliated Merchant's Web site based upon that click. 3) GreenZap may, at all times, route your request for a merchant site through specific links, in order to assure that the sale can be tracked correctly. Any alteration of these links will invalidate your sale, which will not be deemed a Qualified Purchase. 5) All purchases must be started and completed in one shopping session within the GreenZap shopping program. If you start a purchase, then complete it in a different session, you will be ineligible for a rebate. 5) Users must not use coupons not listed on the GreenZap website. 6) Items must not be returned. If they are, the initial purchase will be invalidated and not be deemed a Qualified Purchase.

    7. The determination of whether or not a purchase made through a GreenZap Affiliated Merchant as a "Qualified Purchase" is at the sole discretion of GreenZap.

    8. A "Qualified Purchase" is completed upon the making of a Purchase at any GreenZap merchant site. In case of return or cancellation, GreenZap retains the right to reverse account credit.

    9. Cash back rewards awarded to Members are subject to adjustments for returns, cancellations, and other events. Such adjustments can be applied to Member accounts at any time by GreenZap at its sole discretion. Should you disagree with any adjustments made to your account, your sole remedy is to withdraw from the Program.

    10. You may be taxed on your accrual of cash back rewards, depending on the amount of cash back rewards you accrue and the tax laws of federal, state, and local jurisdictions. GreenZap may choose to provide you with those notices to you on occasion. In all instances, you will be solely responsible for any and all tax liability arising out of your accrual or redemption of cash back rewards.

    11. There are a number of purchases that are not eligible for accrual or payment of cash back rewards with the merchants. You must use the link provided you by GreenZap.

    12. It is your responsibility to check your account regularly to ensure that cash back rewards have been properly credited and that your account balance is accurate. If you do not believe that a cash back reward has been correctly credited to your account you must wait at least 30 days but no more than 90 days after completing a Qualifying Purchase to contact GreenZap Customer Care. Furthermore, all cash back rewards earned by Members are subject to review. Necessary adjustments may be applied to Member accounts at any time by GreenZap at its sole discretion. If you do not agree to adjustments made to your account, your only recourse will be to terminate your membership in the Program. GreenZap reserves the right to terminate any account for abusive or fraudulent activity, or if the Member is no longer reachable at the e-mail address provided.

    13. GreenZap is not responsible for changes to, or discontinuance of, any Affiliated Merchant, or any Affiliated Merchants withdrawal from the Program, or for any effect on accrual of cash back rewards caused by such changes, discontinuance, or withdrawal. GreenZap is not responsible for changes to, or discontinuance of, any special offer or coupon code at an Affiliated Merchant site. It is the Member's responsibility to make sure that all specials are valid. If you choose to use coupons and specials that are not listed on the GreenZap site, we cannot guarantee that you will be eligible to receive a GreenZap cash back reward on your purchases.

    PAYMENT SCHEDULE

    14. Every month GreenZap credits to its members’ accounts the Cash Back that they have earned, provided that the member has earned at least $5.01 in Cash Back Rewards. Bonus Rewards do not count toward the $5.01 minimum. The term “Bonus Rewards” includes monies earned as a Sign-up Reward, a Tell-A-Friend Bonus. Accrued cash back rewards will be dispersed to the Members on or around the 30th of each month. The Qualified Purchase must occur in the previous calendar month. Some merchants have a 30 day return policy so the cash back rewards will be dispersed to the Members on or around the 30th of the following month.

    15. It is your responsibility to keep your account information current in order to facilitate the payment of your cash back rewards. In the event that your information is not current at the time of payment, you forfeit all accrued cash back rewards from GreenZap.

    ACCOUNT ACCESS AND PASSWORD

    16. Upon registration for the Program, you will select a password that will allow you to access your GreenZap account (via the GreenZap Web site) to verify transfers, check account balances, and modify your account information.

    17. You must be logged into GreenZap and enter your password to change your account settings and payment preferences. You may check your account status and recent earning history at any time by clicking any of the several “Account” links on the GreenZap Website.

    18. GreenZap is entitled to act on instructions received under your password. For security purposes, it is recommended that you memorize your password, and do not write it down. You are responsible for keeping your email address, password, account numbers, and other account information confidential. GreenZap is not responsible for any credits or debits made to your account by someone else who uses your password.

    DISCLOSURE OF ACCOUNT INFORMATION

    19. You authorize GreenZap to only disclose to third parties information you have provided, or information that GreenZap has obtained about your GreenZap account or shopping behavior: (i) to agents and licensors of GreenZap or its affiliates, such as independent auditors, consultants or attorneys; (ii) to comply with government agency or court orders or requests; (iii) in providing aggregated and non-personalized marketing services for an advertising or merchant partner, or (iv) where it is necessary for redemption or transfer of your cash back rewards. Further, you authorize GreenZap to receive any account information from any Affiliate Merchant including, but not limited to information regarding purchase was made, products ordered, order number, the time and date the purchase occurred, the email address entered for the purchase. You agree to hold the Affiliated Merchant harmless for any information disclosed to GreenZap.

    20. By signing up for membership at GreenZap, you agree to receive communications that are account and membership related (e.g. that we've added money to your account, that we are mailing you a check on a certain date, that new features are available on the GreenZap site, etc) as well as periodic shopping-related emails that highlight coupons & special deals that are available to GreenZap members. You can opt-out of receiving emails that are not account-related by either (i) visiting your account page and hitting the 'click here to edit your profile' link, or (ii) following the unsubscribe link on any of the emails. Since we need to communicate account information with you in order to operate our service, you can't unsubscribe from account information emails. But rest assured that we don't send account emails unnecessarily. These are not promotional emails, and are only used to notify you that a check is on the way, that we put money in your account, that we need a mailing address to send your check to, that we mailed you a check and it came back to us as having a bad address, and so forth. If you don't wish to ever hear from us, even if just to hear that we tracked your purchase and awarded you Cash Back, you can close down your account by contacting customer service.

    DISCLAIMER

    21. THE GREENZAP PROGRAM IS BEING PROVIDED TO MEMBER "AS IS" WITH NO WARRANTY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, GREENZAP DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THE PROGRAM, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR ANY PARTICULAR PURPOSE AND IMPLIED WARRANTIES ARISING FROM COURSE OF DEALING OR COURSE OF PERFORMANCE.

    21. GREENZAP DOES NOT WARRANT, GUARANTEE, OR MAKE ANY REPRESENTATIONS REGARDING THE QUALITY OF, OR ACCURACY OF ADVERTISEMENTS FOR, ANY MERCHANDISE, PRODUCTS, OR SERVICES OFFERED OR PROVIDED BY AFFILIATED MERCHANTS OR SUPPLIERS IN CONJUNCTION WITH THE PROGRAM. IN ADDITION, ALTHOUGH GREENZAP INTENDS TO TAKE REASONABLE STEPS TO PREVENT THE INTRODUCTION OF VIRUSES OR OTHER DESTRUCTIVE MATERIALS TO THE GREENZAP WEB SITE, GREENZAP DOES NOT WARRANT, GUARANTEE OR MAKE ANY REPRESENTATIONS THAT THIS SITE IS FREE OF DESTRUCTIVE MATERIALS. IN ADDITION, GREENZAP DOES NOT WARRANT THAT ACCESS TO THIS SITE OR USE OF THE PROGRAM WILL BE UNINTERRUPTED OR ERROR-FREE, AND GREENZAP ASSUMES NO RESPONSIBILITY FOR ANY DAMAGE CAUSED BY YOUR ACCESS, OR INABILITY TO ACCESS, THIS SITE OR YOUR USE OR INABILITY TO USE THE PROGRAM, INCLUDING, BUT NOT LIMITED TO, YOUR INABILITY TO ACCRUE CASH BACK REWARDS BY PURCHASING ITEMS WITH AN AFFILIATED MERCHANT.

    LIMITATION OF LIABILITY

    22. IN NO EVENT WILL ANY OTHER COMPANY WITH WHICH GREENZAP HAS A CORPORATE PARTNERING RELATIONSHIP, INCLUDING WITHOUT LIMITATION, CO-BRANDING, CO-MARKETING, JOINT DEVELOPMENT, A MERCHANT RELATIONSHIP, OR A LICENSING OR SUPPLIER RELATIONSHIP (EACH A "CORPORATE PARTICIPANT") BE LIABLE TO YOU FOR NON-PERFORMANCE OF GREENZAP OBLIGATIONS. YOU AGREE NOT TO SUE ANY CORPORATE PARTICIPANT FOR NON-PERFORMANCE BY GREENZAP. IN NO EVENT SHALL GREENZAP BE LIABLE FOR ANY DAMAGES, CLAIMS OR LOSSES INCURRED (INCLUDING WITHOUT LIMITATION COMPENSATORY, INCIDENTAL, INDIRECT, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES), HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY ARISING IN CONNECTION WITH: (I) THE PROGRAM; (II) ANY FAILURE, DELAY, OR DECISION BY GREENZAP IN ADMINISTERING THE PROGRAM; (III) THE USE OR INABILITY TO USE THIS WEB SITE; (IV) THE USE OR INABILITY TO USE THE PROGRAM, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST BUSINESS OR LOST OPPORTUNITY, OR ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL OR EXEMPLARY OR PUNITIVE DAMAGES, INCLUDING LEGAL FEES, ARISING OUT OF SUCH USE OR INABILITY TO USE THE SOFTWARE, OR (V) THE PURCHASE OR USE OF ANY MERCHANDISE, PRODUCTS, OR SERVICES OF MERCHANTS OR SUPPLIERS, EVEN IF GREENZAP, OR REPRESENTATIVES THEREOF, ARE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, CLAIMS, OR LOSSES AND NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.

    23. MEMBER AGREES TO INDEMNIFY AND HOLD GREENZAP, ITS PARENTS, SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS AND EMPLOYEES, HARMLESS FROM ANY CLAIM OR DEMAND, INCLUDING REASONABLE ATTORNEY'S FEES, MADE BY ANY THIRD PARTY DUE TO OR ARISING OUT OF MEMBER'S USE OF THE PROGRAM, THE VIOLATION OF THESE POLICIES BY MEMBER, OR THE INFRINGEMENT BY MEMBER, OR OTHER USER OF THE PROGRAM USING THE MEMBER'S ACCOUNT, OF ANY INTELLECTUAL PROPERTY OR OTHER RIGHT OF ANY PERSON OR ENTITY, OR AS A RESULT OF ANY THREATENING, LIBELOUS, OBSCENE, HARASSING OR OFFENSIVE MATERIAL CONTAINED IN ANY MEMBER COMMUNICATIONS.

    TERMINATION OR CHANGES TO THE PROGRAM

    24. GreenZap reserves the right to terminate the Program at any time with notice. This means you will have sixty (60) days from the date notice of Program termination is provided to Members to redeem cash back rewards in your account. Notification of Program termination will be sent to the email address you provide to GreenZap during the registration process. GreenZap will not be responsible for failing to notify you of Program termination where such failure is caused by any reason outside the control of GreenZap, including an error in your email program, an inaccurate email address, your failure to check for your email online, or your failure to inform GreenZap of a change in your email address.

    25. GreenZap may modify this Agreement from time to time, with or without notice, and your continued participation in the Program after such modification shall be deemed to be your acceptance of any such modification. It is your responsibility to check the Member Agreement page of the GreenZap Web site regularly to determine whether this Agreement has been modified. If you do not agree to any modification of this Agreement, you must immediately cease participation in the Program.

    TERMINATION OF MEMBERSHIP

    26. Membership in the Program is subject to the Program Terms and Conditions. Any failure to comply with the Program Terms and Conditions, any fraud or abuse relating to the accrual or redemption of cash back rewards, or any misrepresentation of any information furnished to GreenZap or its affiliates by you, or anyone acting on your behalf, may result in the termination of your membership in the Program, cancellation of your GreenZap account and/or forfeiture of your accrued cash back rewards. GreenZap also reserves the right to close accounts that have been inactive for more than 12 months. We call these 'Dead Accounts'. Inactivity is defined as no tracked visits, either cookied or manually logged in. Any Dead Account will have all funds in it taken back by GreenZap, and we will no longer allow user login under that username and password. We'd much rather have a happy customer than a closed account, but if you haven't come by in a year, and haven’t responded to any of our emails over the course of a year, GreenZap will close the account and take back any funds therein.

    DISPUTES/ERRORS

    27. All questions or disputes regarding the Program, including without limitation, questions or disputes regarding eligibility for the Program, or the eligibility of cash back rewards for accrual or redemption, must be submitted in writing within 60 days of the qualifying transaction, to GreenZap at: Customer Service, GreenZap Inc., 8677 Villa La Jolla Drive, #1121, La Jolla, CA 92037, or contact Customer Service on the GreenZap site. Any such disputes shall be resolved by GreenZap at its sole discretion. All interpretations of Program Terms and Conditions shall be at the sole discretion of GreenZap. In the event that an error is made by GreenZap, your sole remedy shall be the credit of the disputed cash back reward to your GreenZap account.


    MISCELLANEOUS

    28. This Agreement shall be governed by and construed in accordance with the laws of the State of California, without reference to conflicts of law rules. As a condition of the use of the GreenZap website and service, you (the Member) agree to submit to the personal and exclusive jurisdiction of the courts located within the county of San Diego, California and therefore agree to file any grievance or suit of any kind exclusively in the courts located within the county of San Diego. If any provision of this Agreement is found invalid or unenforceable, that provision shall be enforced to the maximum extent possible, and the other provisions contained herein will remain in full force and effect. GreenZap' failure to insist upon or enforce strict performance of any provision of the Agreement shall not be construed as a waiver of any provision or right. Nothing in this Agreement shall be construed as creating or constituting a partnership, joint venture or agency relationship between GreenZap and the Affiliated Merchants or between GreenZap and any other of its Corporate Partners. Neither the Affiliated Merchants nor any Corporate Partner shall have the ability to create any obligation on GreenZap' behalf. This Agreement constitutes the entire agreement between you and GreenZap with respect to the Program.
